Idea: No revenue, and still building out the concept and conducting market research. Have a well-thought-out business plan
Commitment: Pre-Revenue, In the process of building a prototype and founding a team
Traction: Some revenue, MVP launched in the market, Acquired early customers
Refinement: Some revenue, MVP being used for 3+ months, Working with customers to get feedback and refine product/service
Scaling: Growing revenue, MVP being used for 6+ months, Growing customer base, Marketing & processes becoming more efficient, Team expanding
Raising Round
Pre-Seed: Bootstrapped so far or raised some money from friends and family. $0 – $10k MRR. Raising between $20k – $100k through SAFE or Convertible Note. Business plan or prototype/MVP of solution is available
Grants: Are you working on raising money through government grants for your company in North America? I got a guy for that. So happy to put you in touch
Crowd Equity: Ready to raise investment from crowd equity platforms. Let’s discuss if it is the right option for you
Seed: Raised small previous round from angels, micro VCs, or accelerators. $25k – $50k MRR. Raising between $500k – $2M through notes or equity funding from VCs
Series-A: Actively or will soon be raising Series-A round from VCs. $100k – $200k MRR. Raising between $5M – $50M which varies for different kinds of sectors, especially hardware startups
Definitions
MRR = Monthly Recurring Revenue = No. of customers x Avg Revenue per customer
Elevator Pitch = 1-2 lines, 10-30 secs, covering: Pain, Gain, and Solution (Part 3 of building your pitch). Also: Part 1 (5-10min) and Part 2 (1-3min)

Angels = Typical investments range from 1k to 20k. Many angels exit at Series B or C rounds when their shares get diluted too much without continuing to do follow-on investments
Post-money valuation = What your company is worth AFTER investment. Capital raised + pre-money valuation (what your company is worth BEFORE the investment round). When VCs talk about valuation they usually mean post-money
Discount rate is a predetermined percentage used to convert outstanding debt to equity in a future round. It’s applied to the company’s valuation during conversion, allowing investors with Notes to obtain equity at a more favorable price than new investors in that round. Detailed description and example
Valuation cap is the maximum conversion valuation for Notes in a future equity financing round. It sets an upper limit on the company’s valuation, ensuring investors receive their equity stake based on a predetermined valuation. Detailed description and example
Pro-rata rights is the option to invest in your next round and maintain the same level of percentage shares in your company. If they own x% now, and after next round get diluted to y%, they can invest more money to maintain that x% ownership. Detailed description and example
